Merchant agreement

This Merchant Agreement sets out how VibePass collects payments from ticket buyers on behalf of organizers ("you") and settles the proceeds. It forms part of the Organizer Terms.

1. Appointment

You appoint VibePass as your limited agent to sell tickets and add-ons for your events, collect payment from buyers through our payment providers and hold the proceeds until settlement. A buyer's payment to VibePass discharges the buyer's obligation to you.

2. Fees

• Service fee - charged per paid ticket, either to the buyer or, if you choose to absorb fees, deducted from your proceeds.
• Platform commission - a percentage of each paid sale as shown in your organizer dashboard.
• Payment processing - card and wallet processing fees paid by the buyer at checkout.

Free tickets carry no fees. Current rates are shown when you create tickets and in your dashboard; we will give you notice before rates change.

3. Settlement and payouts

Your balance for each event equals ticket and add-on sales, less refunds, absorbed fees and platform commission. Payouts are made to the bank or payout account in your organizer settings after the event, or earlier by agreement. Each payout comes with a statement you can download from your dashboard.

4. Refunds, chargebacks and reserves

You are responsible for refunds under your event's refund policy and for all refunds if your event is cancelled. Chargebacks and refunds issued after a payout are deducted from future payouts or invoiced to you. We may hold a reasonable reserve for events with elevated refund or chargeback risk.

5. Taxes

You are responsible for taxes on your event revenue. Where VibePass collects tax from buyers it is shown separately on each order and handled as described in your dashboard settings.

6. Verification

To protect buyers we verify organizers and payout accounts. We may pause sales or payouts while information is reviewed or if we suspect fraud.

7. Term

This agreement applies for as long as you sell tickets on VibePass and survives until all sales, refunds and payouts for your events are settled.
